Important Thoughts About a Board of Directors

Employers need to have an informed/experienced, proactive, and strategic board of directors. While attending a meeting recently where the discussion was on what makes an effective board of directors, I could definitely agree with most that was said.

Having served on both non-profit boards and private company boards, I've seen some good and bad practices. Selecting those to be on the boards is the first big challenge. Those chosen need to understand what is expected of them and be held accountable. It can help for the new director to meet with the previous one, as well as the chairman in order to ask questions. I have also seen positions on the board, where the purpose of that role is not taken seriously by the leadership. What a waste!

Several years ago I attended a "Board Training Session". This taught the differences in boards and relayed some possible expectations, as well as informing me of what questions to ask of the board or chairman when asked to join the board.

The leadership of a board makes a huge difference. Some chairmen/women are more focused and better facilitators. I've also seen some boards who manage their time and process more effectively. The more structured the process, the more productive the board. A Board should be taken seriously.

Employers, use your board to consciously help to strengthen and grow your business. Select appropriate members. Having a solid HR representative should be imperative. Sooner or later this person will be instrumental.
